1. Who we are

Kanso Labs LLC is an independent software studio registered in Sheridan, Wyoming, USA (“Kanso Labs”, “we”, “us”). You can reach us at hello@kansohq.com.

2. Our services

We provide design and engineering services — including AI agents, SaaS launch kits, and product videos — on a project basis, and we offer subscription products. The specific scope, deliverables, and timeline for project work are set out in the proposal or statement of work we agree with you.

3. Quotes & engagements

Quotes are valid for 30 days unless stated otherwise. An engagement begins when you accept a proposal in writing (email is fine) and, where applicable, pay any deposit. Changes to scope may affect fees and timelines and will be agreed in writing.

4. Fees & payment

• Project fees are invoiced as set out in the relevant proposal (for example, a deposit up front and the balance on delivery, or in milestones).
• Subscriptions renew automatically for the chosen period until cancelled, and are billed in advance.
• Payments are processed via Stripe (web) and the Apple App Store (iOS). Fees are exclusive of any applicable taxes, which are your responsibility.
• Late or failed payments may pause work or suspend access until resolved.

5. Your responsibilities

To do our best work, we rely on you to provide timely feedback, access, content, and approvals, and to ensure that anything you give us doesn’t infringe a third party’s rights or break the law.

6. Intellectual property

On full payment for a project, ownership of the final deliverables created specifically for you transfers to you, except for: (a) our pre-existing materials, tools, libraries, and know-how; and (b) third-party and open-source components, which remain under their own licences. Our subscription products (such as LaunchKit) are licensed to you, not sold. We may reference completed work in our portfolio unless we agree otherwise in writing.

7. Confidentiality

Each party will protect the other’s non-public information shared for the engagement and use it only to perform under these terms.

8. Third-party services

Our work and products may rely on third-party services (for example, model providers, payment processors, and hosting). Your use of those services is subject to their terms, and we’re not responsible for their availability or actions.

9. Warranties & disclaimers

We provide our services with reasonable skill and care. Except as expressly stated, our website, services, and products are provided “as is” without warranties of any kind, to the fullest extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Kanso Labs will not be liable for indirect, incidental, or consequential damages, and our total liability arising out of or relating to an engagement is limited to the fees you paid us for that engagement in the preceding three months.

11. Term & termination

Either party may terminate an engagement with written notice if the other materially breaches these terms and doesn’t cure it within a reasonable period. On termination, you’ll pay for work performed up to that date. Subscriptions can be cancelled at any time and will end at the close of the current billing period.

12. Governing law

These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The courts located in Wyoming will have jurisdiction, except where applicable law gives you the right to bring proceedings elsewhere.

13. Changes to these terms

We may update these terms from time to time. We’ll revise the “last updated” date above, and continued use after changes take effect means you accept the updated terms.
